中文摘要: 作为中国特定时期的非制度约束安排,连锁董事现象普遍存在并已成为企业获取资源的重要手段。企业技术创新的关键是资源的获取、配置与使用,而连锁董事对企业技术创新影响如何,尚未引起学者关注。本课题在考察连锁董事关系网络现状的基础上,对其演变特征和发展趋势进行解释与预测;从资源获取视角,探讨连锁董事的外部资源获取对企业内部资源存量,即组织冗余的影响,并就外部制度环境对二者关系的调节作用进行检验;从资源配置和使用的视角,分析连锁董事——组织冗余——企业技术创新中连锁董事对企业技术创新的间接影响,以及组织冗余的中介效应。揭示连锁董事对董事会创新动力和创新决策质量的影响及其对组织冗余和企业技术创新的调节作用;最后探讨连锁董事对企业技术创新的综合效果,总结归纳基于西方社会实践而构建的连锁董事相关理论在中国的适用性,分析连锁董事的功能定位,提出规范连锁董事发展、有效利用组织冗余和提高企业技术创新绩的政策建议。

英文摘要: As an informal institutional regulation during China’s transitional economy, interlocking directorate is prevalent and has become important means for enterprises to acquire resources. The key of technological innovation is to access, accumulate and use resources, but what is the effect of interlocking directorate on technological innovation, this issue has not attract much attention from researchers. Based on the study of interlocking directorate social network, we will explain its evolution characteristics and predict its development trend. From the resource acquisition perspective, we will explore how the external resource acquisition of interlocking directorate may affect enterprise’s internal resources, i.e. organizational slack, and test the moderating effect of external institutional environment. From the resource utility perspective, we will study the indirect effect of interlocking directorate on technological innovation among interlocking directorate, organizational slack and technological innovation relationships, as well as the mediating effect of organizational slack.
