中文摘要： 信息所具有的决策价值是以可靠地披露为前提的，确保内部控制信息披露质量的关键在于促使上市公司如实披露所存在的内部控制重大缺陷（ICMW）。本研究将行为财务理论中“认知偏差→管理决策”的研究逻辑与信息披露行为“动机—约束—权力”的分析框架相结合，研究上市公司披露ICMW信息中的行为选择，具体内容包括：（1）采用内容分析法从披露形式、披露内容、披露严重程度等维度进行研究，挖掘ICMW披露的行为选择规律；（2）区分缺陷识别和披露两阶段确定ICMW披露行为选择的驱动因素，采用局部可观察双变量probit模型和有序多分类Logistic模型，揭示ICMW披露行为选择的形成机理；（3）采用事件研究法和回归模型，从市场反应、高管变更与法律诉讼等角度剖析ICMW披露行为选择的经济后果。本研究将拓展ICMW披露理论研究的维度，为内部控制信息披露监管政策的技术创新提供依据，为内部控制规范的有效实施提供监管启示。

英文摘要： The decision value of information is on the premise of reliable information disclosure. The key to ensure internal control information quality is to prompt listed companies report internal control material weakness faithfully. This paper researched the behavior choice in ICMW disclosure based on behavior financial theory and the three dimensional analysis framework “motivation–constraint–power” in information disclosure behavior research. Firstly, this paper explored the behavior choice law of the listed companies in ICMW disclosure based on the discretionary disclosure dimensions of form ,content ,serious degree with the application of content analysis method. Secondly, this paper determined the driving factors of ICMW disclosure behavior choices in ICMW detection and disclosure, then applied local observable bivariate probit simultaneous equation model and ordered logistic regression model, this paper revealed the formation mechanism of behavior choice in ICMW disclosure. Finally, with application of event study method and regression, this paper analyzed the economic consequences of behavior choice in ICMW disclosure viewed from the stock market reaction, top management turnover and lawsuit. The findings aim to expand the theory research dimensions in information disclosure, provide basis for the technological innovation in information disclosure supervision policy and provide enlightenment about implementing the internal control regulations effectively.
