中文摘要： 董事的社会网络关系对公司行为的影响逐渐受到关注，但相关研究尚未深入。本课题结合中国资本市场信息环境较差的制度背景，从董事连锁网络关系和董事网络嵌入性两个角度全面地衡量董事网络，并从信息传递视角出发，系统地研究董事网络与公司的信息传递需求、渠道及其在资本市场的经济后果。具体地，首先将探讨公司面临的信息环境是否影响其聘任具有网络背景的董事；其次从治理机制、会计政策、战略决策三类公司政策的趋同行为检验董事网络在公司信息传递的具体渠道；最后检验董事网络的信息传递带来的公司基本信息趋同是否增加了资本市场的股价同步性。在研究中我们还将着重关注独立董事、不同专业委员会以及同一行业背景的特殊董事网络关系。研究结果不仅为公司财务和会计领域刚刚兴起的"社会网络和公司行为"研究提供进一步的经验证据，对上市公司实践和资本市场监管也有一定的启示作用。

英文摘要： Though the impact of board directors' social network on corporate behavior is being an interesting topic, the related research is not enough. Under the background of Chinese capital market's opaque information environment, this project study the board directors' network and firm's information transfer. We measures the board directors' network using both interlocking relationship and network embeddedness, then investigate the relation between directors' network and corporate information transferring demand, channel and its economic consequence. Specifically, we firstly examine whether corporate information environment can influence the selecting of the network backed directors. Secondly we explore the corporate information transferring channel of directors' network through the convergence of governance mechanism, accounting methods and strategic decision. Finally we examine whether the corporate policy convergence caused by directors' network is associated with more stock price co-movement. In addition, we pay more attention to the special network of independent directors, specific committees and the directors with the same industry background.
